Start your business off on the right foot in Canada – 2013 Seminar

Start your business off on the right foot in Canada

Do you have a great business idea, but you are unsure of the steps in starting a business with the best chance of success? Should you incorporate your business? There are many possible corporate structures, but which is right for you? What are the legal considerations when starting a business?

Do you want to know where and how to get financing you need to start and run your business? Approaching a bank can be an intimidating and overwhelming process. Often people approach a bank without any idea of what lending services are available and what the bank is looking for from the applicant.

This seminar will present the following information::

(1) Choosing best legal structure for your business

(3) Legal considerations when starting a business: liability issues, responsibilities of different roles, share capital, shareholder agreement and partnership agreement

(4) Options of financing your business

(5) How do the loans work including what documents and information are required and how to review the requirements to qualify for small-medium business financing.

Jack Tannerya

Partner in the Business Law and Capital Markets and Securities Groups of Miller Thomson’s Toronto office

Jack’s corporate and business law practice involves advising both public and private entities in a broad range of industries. Jack’s business law practice focuses primarily on corporate transactions, including mergers, acquisitions, divestitures and reorganizations. In addition to assisting Canadian clients, Jack frequently works with both in-house and U.S. counsel in cross-border transactions. Jack’s securities laws practice involves ongoing advice to certain TSX listed issuers and guiding his clients with the initial public offering and TSX listing process. Jack’s clients also seek his counsel with respect to general ongoing corporate advice and structuring commercial agreements including shareholder agreements, partnership agreements, employee stock option plans, distribution agreements and licensing agreements. Jack has also represented both corporations/issuers and investor groups such as private equity firms in private placements and debt and equity financings. Clients often select Jack as their counsel because he understands the business and entrepreneur mindset and objectives and he favours a practical, cost sensitive and problem solving approach when dealing with his clients’ legal issues.

As many of Jack’s clients have focused their efforts on building their businesses as opposed to actively preparing to sell them, they often look to Jack to form and lead a professional team to guide them through the entire sale process involving everything from arranging for a business valuation and engaging a financial advisor to advising on and taking care of the client’s wealth management needs following the disposition of the client’s business.
